1. Acceptance of Terms

These Personal Trainer SaaS Terms govern your access to and use of the Ubomi desktop platform as a personal trainer (Trainer).

By creating an account, adding a payment method, upgrading from free access or continuing to use the Platform, you agree to be bound by these Terms and the Ubomi Privacy Policy.

2. Nature of the Platform

Ubomi provides a software as a service platform that enables Trainers to manage client records, create and distribute workout and nutrition programs, communicate with clients, view engagement reporting and advertise services through the Ubomi marketplace.

Ubomi does not provide personal training, fitness, nutrition or medical services and does not supervise, direct or control how Trainers deliver services.

3. Eligibility and Account Responsibility

You must be at least 18 years of age and operate as a business or sole trader.

You are responsible for maintaining accurate account information and for all activity conducted through your account.

4. Free Access and Payment Method Requirement

Ubomi may offer limited free access to the Platform. Free access does not include full functionality and does not waive transaction fees or the Ubomi Processing Fee.

To access full functionality, including publishing services or selling offerings, you must add a valid payment method through Ubomi’s Stripe hosted payment interface. Ubomi does not store card details.

While on free access, you may maintain up to one billable client record. Any transactions will still incur Stripe processing fees and the Ubomi Processing Fee.

By upgrading from free access, you authorise Ubomi to charge subscription fees, client record charges and Ubomi Processing Fees in accordance with these Terms.

5. Subscription Plans and Client Records

Each subscription plan includes a specified number of client records. Managing more client records than included in your selected plan requires upgrading.

Client records may be labelled active, inactive or lead. These labels do not affect billing.

Leads are generated only when an end user creates an account and initiates contact through the Ubomi marketplace. Trainers cannot manually create lead records.

All client records are billable, including active clients, inactive clients and leads.

6. Pricing and Billing

Charges may include a recurring monthly subscription fee, additional charges for billable client records above your plan limit and the Ubomi Processing Fee applied to all transactions.

Subscription fees and client record charges are billed monthly in advance on the same calendar date as your initial subscription or upgrade.

If payment fails, Ubomi may retry at reasonable intervals. Continued failure may result in suspension or restriction of access. Outstanding fees remain payable.

Fees are non refundable except as required by Australian Consumer Law.

7. Ubomi Processing Fee

Ubomi charges a processing fee equal to one percent of the gross transaction value of all client purchases processed through the Platform.

The Ubomi Processing Fee applies to every transaction, regardless of subscription plan, and is deducted automatically prior to payout. Stripe processing fees are charged separately by Stripe.

8. Trainer Content and Licence

Programs, workouts, nutrition plans and related materials created by Trainers remain the Trainer’s original content.

By using the Platform, you grant Ubomi a perpetual, worldwide, royalty free licence to host, store, use, analyse, modify, display and distribute such content for operating, improving and promoting the Platform.

Ubomi may use Trainer generated content and related usage data in aggregated and de identified form to improve platform features, train and refine artificial intelligence systems, analyse industry trends and develop commercial insights, reports or datasets.

Aggregated and de identified outputs do not constitute Trainer content and remain the property of Ubomi.

The rights granted under this section survive suspension or termination of your account.

9. Marketing and Promotion of Trainer Profiles

Ubomi may display, promote and market Trainer profiles, services and content through the Platform, advertising campaigns, discovery features and external marketing channels. This may include paid advertising and promotional materials.

No additional compensation is payable for such promotion unless expressly agreed in writing.

Marketing activities are conducted in accordance with the Ubomi Privacy Policy.

10. Artificial Intelligence Tools

The Platform may include automated tools and AI assisted features to support discovery, matching, analytics or content generation. These tools may incorporate third party AI technologies operating under Ubomi’s control and instruction.

AI tools are provided for informational and operational purposes only and do not guarantee outcomes or results.

11. Trainer Credentials

Trainers may voluntarily display credentials or upload certification documents. Uploading credentials is not required.

Ubomi may review uploaded credentials for administrative purposes only and does not verify professional competence or suitability.

12. Moderation and Termination

Ubomi may review, moderate or remove content and may suspend or terminate accounts where Ubomi reasonably believes a breach or risk has occurred.

13. Health Data

Health data connected by clients through third party health services is not accessible to Trainers and is not stored by Ubomi.

14. Liability and Governing Law

The Platform is provided as is. Ubomi’s liability is limited to the extent permitted by law.

These Terms are governed by the laws of Victoria, Australia.

Ubomi App & Marketplace Terms

1. Acceptance

By creating an account, purchasing a program or using the Platform, you agree to these Terms and the Ubomi Privacy Policy.

2. Eligibility

The Platform is available only to users aged 18 years or older.

3. Platform Role

Ubomi is a technology platform only and does not provide fitness, training, nutrition or medical services. Trainers operate independently.

4. Marketplace, Discovery and AI Matching

Clients may browse Trainers, communicate via chat or video and purchase programs through the Platform.

Ubomi may use questionnaires, profile information and automated systems to suggest or surface Trainers. These suggestions are informational only and do not constitute advice, endorsement or guarantees of suitability.

5. Marketing and Advertising

The Platform may include promoted listings, featured Trainers or marketing content. Ubomi may use information about how the Platform is used to support discovery, marketing and advertising activities.

Marketing and advertising practices are governed by the Ubomi Privacy Policy.

6. Payments and Purchases

Payments are processed via Stripe. Refunds are subject to Trainer policies and Australian Consumer Law. Ubomi may deduct the Ubomi Processing Fee prior to payout to Trainers.

7. Client Data, Artificial Intelligence and Research Use

Information generated through use of the Platform, including workout and nutrition data, may be aggregated and de identified to improve the Platform, train artificial intelligence systems, analyse trends and support research or commercial insights.

Ubomi may use third party AI technologies operating under its control and instruction to support these activities.

The use of aggregated and de identified information may continue after account termination.

Ubomi does not sell personal information and does not disclose identifiable personal data as part of these activities.

8. Artificial Intelligence Outputs

Any AI assisted features, insights or suggestions provided through the Platform are informational only and do not constitute medical, fitness or nutritional advice. Outcomes are not guaranteed.

9. Trainer Credentials

Trainer profiles may display credentials voluntarily provided by Trainers. Ubomi does not guarantee accuracy or endorse Trainers.

10. Health Data Integrations

Clients may optionally connect Apple Health or Android health services. Health data is visible only to the client, is not shared with Trainers, is not stored by Ubomi and is not used for advertising or AI training.

11. Content and Social Sharing

Clients may manually share completed workouts to third party platforms. Sharing is optional and governed by third party terms.

12. Enforcement and Termination

Ubomi may suspend or terminate accounts where it reasonably believes misuse, breach or harm has occurred.

13. Liability and Governing Law

Ubomi’s liability is limited to the extent permitted by law.
